    The Technology Legal Counsel advises on technology and intellectual property matters, including evaluating, drafting, negotiating, and executing contracts for Stanford Health Care’s Information Technology Department and Stanford Children’s Health’s Information Services Department. This position will have dual reporting to the Stanford Health Care IT Department and the Stanford University Office of the General Counsel (OGC). The Technology Legal Counsel will serve as a trusted advisor to IT executives on key legal risks associated with contracts related to technology and must have excellent client management skills, be able to function independently, have impeccable judgment, and be able to efficiently prioritize work.
     
    Essential Functions

    • Provide executive guidance in all areas related to contracts and vendor management including advising senior leadership regarding terms and negotiation strategies.
    • Draft template agreements and develop policies and procedures related to technology procurement by Stanford Health Care and Stanford Children’s Health.
    • Develop playbooks for use by attorneys and non-attorneys to assist in the efficient negotiation of technology agreements.
    • Draft and advise on intellectual property policies for Stanford Health Care and Stanford Children’s Health.
    • Negotiate technology procurement agreements, including software license agreements, hosted service agreements, equipment loan agreements, equipment purchase agreements, non-disclosure agreements, SaaS/Cloud Service Agreements.
    • Negotiate and draft joint-development, investment, and royalty-sharing agreements with industry, including startups and public companies.
    • Negotiate HIPAA Business Associate Agreements.
    • Provide legal guidance to Stanford Health Care and Stanford Children’s Health’s IT security teams.
    • Develop training content and provide training on technology legal topics including IT contracting.
    • Act as a liaison between IT/IS, OGC, Compliance, IT Security, Risk, and the Stanford University School of Medicine on technology-related matters.
    • Provide transactional support and counseling to Stanford University, as needed. This may include technology, intellectual property and other commercial related matters for various offices, departments and schools within the University. 

    Knowledge, Skills, and Abilities

    • Experience advising clients on a broad range of legal and contractual issues impacting business transactions, with a track record of building business relationships and gaining trust of internal clients
    • Excellent customer service orientation and verbal communication skills; ability to communicate effectively with, IT executives, technicians, end users, and external vendors
    • Contract drafting and negotiation
    • Experience with software licenses, cloud services, SaaS, hosted services, equipment purchase, NDAs, HIPAA BAAs, consulting services, statements of work, and other technology procurement related agreements
    • Experience in HIPAA/HITECH Privacy, Security and Breach Notification Rules and applicable state and other laws regulating patient information.
    • Ability to identify legal risks
    • Ability to concisely explain legal terms in plain English to non-lawyers in written and verbal communications
    • Extensive knowledge of IT software and hardware licensing models used by various vendors
    • Experience advising on vendor dispute resolution
    • Exceptional planning and collaborations skills
    • Ability to use judgment and make sound recommendations and decisions
    • Knowledge of MS Office applications and proficiency in use of Word, Excel, PowerPoint and Visio

    Minimum Qualifications

    • Juris Doctor from an accredited law school (JD)
    • Ten years of technology and intellectual property-related contract legal review and negotiation experience
