    Position Profile

    LEGAL ASSISTANT/PARALEGAL (PALO ALTO)

    The Legal Assistant/Paralegal is an integral member of the Legal & Compliance Department who works with other members of the department to provide legal assistance to support the company’s needs. The Legal Assistant/Paralegal will be confident and proactive in his/her approach, have the ability to work collaboratively and also be capable of working autonomously, and be comfortable with, and skilled in, interacting with attorneys, senior management, and members of the Board of Directors. The responsibilities of the Legal Assistant/Paralegal include:

    • Organize and maintain records for general corporate matters;
    • Support the preparation of SEC reports and filings, including proxy statements, 10-Ks, 10-Qs, 8-Ks, S-8s, and Section 16 filings;
    • Support the preparation of annual director and officer questionnaires;
    • Assist with the maintenance of subsidiaries, including managing the subsidiary database;
    • Assist with stock trading window compliance and activities related to 10b5-1 plans;
    • Assist with due diligence activities and document organization for debt and equity offerings, M&A, and business development transactions;
    • Assist with activities related to compliance with credit agreement and other significant corporate obligations;
    • Assist as needed with litigation document management, discovery efforts, and document holds;
    • Assist with preparations related to Board, committee, and shareholder meetings;
    • Assist with ad hoc and special projects, as requested;
    • Develop and implement processes and procedures to continually improve upon the efficiency and effectiveness of his/her areas of responsibility, working closely with other departments within Jazz Pharmaceuticals, as applicable;
    • Set appropriate priorities with internal clients and deliver results according to the timelines established; and
    • Willingly assist Legal & Compliance Department colleagues with their projects and activities to maintain a collegial atmosphere and balanced workload.

    Essential Position Requirements:

    • Minimum 4 years’ relevant experience at a company or with a national or international law firm
    • Experience with SEC filings, including Section 16 filings
    • Excellent organizational skills with the ability to handle multiple projects simultaneously
    • Self-starter; able to work with minimal supervision
    • Strong writing, interpersonal and communication skills
    • Ability to collaborate and function well in a team environment
    • Outstanding attention to detail
    • Experience with Equity Edge Online and/or Workiva a strong plus
    • Pharmaceutical experience preferred but not required
